Mac-Nutrition Business Blueprint – Terms and Conditions

These Terms and Conditions govern the purchase of and participation in Mac-Nutrition Business Blueprint.

By submitting an application, making payment, or attending any part of the Programme, you agree to be bound by these Terms and Conditions.

 

 

Definitions

In these Terms and Conditions, the following expressions have the meanings set out below:

We/Our/Us: means Nutrition Mentoring LTD, company number 11809867, whose registered office is 38 Jubilee Drive, Loughborough, Leicestershire, England, LE11 5XS.

You/Your: means the individual applying for, purchasing, or attending the Programme.

Programme: means Mac-Nutrition Business Blueprint, being a 3-day in-person business setup and creation programme together with 6 months of support via the Support Facebook Group, as further described in these Terms.

Event/Event Days: means the three intensive in-person Business Setup/Creation days that form part of the Programme.

Support Facebook Group: means the private Facebook group through which post-event support is provided for 6 months.

Resources: means any materials, templates, documents, recordings, downloads, tools, frameworks, or other content We make available as part of the Programme.

Venue: means The Mac-Nutrition Collective, 38 Jubilee Dr, Loughborough LE11 5XS, or such replacement venue as We may notify to You.

 

The Programme

2.1. Mac-Nutrition Business Blueprint is a 3-day in-person business setup and creation programme for nutritionists, together with 6 months of support via the Support Facebook Group.

2.2. The Programme includes only:

  1. Attendance at the three in-person Event Days; and
  2. 6 months of access to the Support Facebook Group, subject to these Terms.

2.3. Unless expressly stated otherwise by Us in writing, the Programme fee does not include travel, accommodation, meals/refreshments, software, subscriptions, third-party tools, or platform fees.

2.4. You may be required to purchase software, subscriptions, third-party tools, or platform fees, to support your business, this inlcudes but is not limited to: domain names, web hosting, website services, email accounts, branding, design, photography, videography, legal services, accounting services, tax advice, or any other third-party products or services You may choose to purchase for Your business.

2.5. Any such third-party costs are Your sole responsibility.

 

Applications, Limited Spaces, and Acceptance

3.1. Places on the Programme are limited.

3.2. All prospective participants must complete an application process if requested by Us.

3.3. Submission of an application does not guarantee acceptance onto the Programme.

3.4. We reserve the right, at Our sole discretion, to accept or reject any application for any lawful reason.

3.5 As part of the application process, We may require You to pay a deposit for Your application is considered or Your place is confirmed

3.6. A binding contract between You and Us is formed only when:

  1. We confirm that Your application has been accepted; and
  2. We receive payment in full or the first instalment, as applicable.

3.7. If We decline Your application after payment has been made, We will refund any sums paid by You in full or transfer your place to a future Programme.

 

Event Dates and Attendance

4.1. The Event Days take place on fixed dates. Those dates will be confirmed to You when You apply and make payment.

4.2. The three Event Days form one single Programme. Your place is booked for those specific dates only.

4.3. Attendance at all three Event Days is required.

4.4. Your place is personal to You. You may not:

  1. Transfer Your place to another person;
  2. Send a substitute attendee in Your place;
  3. Defer to a future intake, future dates, or an alternative event; or
  4. Request alternative dates if You are unable to attend.

4.5. If You miss all or any part of any Event Day for any reason, including illness, injury, family commitments, work commitments, transport disruption, weather, or any other personal circumstance:

  1. You will be treated as having missed that part of the Programme;
  2. No refund, credit, deferral, transfer, or replacement day will be provided; and
  3. Your payment obligations will continue in full.

Fees and Payment

5.1. Programme fees will be those stated at the point of application, checkout, or invoice.

5.2. We may offer the following payment options:

  1. A one-off payment in full; or
  2. Payment by monthly instalments over 3, 6, or 9 months.

5.3. If You choose an instalment plan, You remain liable for the full Programme fee. An instalment plan is a payment arrangement only and does not create a monthly rolling subscription or a pay-as-you-go arrangement.

5.4. All payments are due on the dates specified at checkout, in the payment plan, or on invoice.

5.5. You are responsible for ensuring that Your payment details are accurate and up to date and that payments can be collected when due.

5.6. If any payment fails, is reversed, is charged back, or is not made on time, We may, without prejudice to any other rights We may have:

  1. Suspend Your access to the Support Facebook Group;
  2. Suspend Your access to Resources;
  3. Refuse You entry to any Event Day unless and until the arrears are cleared;
  4. Treat Your place as being at risk and reallocate or cancel associated access rights where appropriate; and/or
  5. Require immediate payment of all outstanding sums.

5.7. Any unpaid sums remain due and payable in full, whether or not You attend the Event Days or use the Support Facebook Group or Resources.

5.8. You are responsible for any bank charges, card charges, foreign exchange charges, or similar charges applied by Your payment provider.

Cancellation by You

6.1. We offer a contractual cancellation period of 30 days from the day after We confirm acceptance of Your place.

6.2. During that 30-day period, You may cancel for any reason by giving written notice to info@mac-nutrition.com.

6.3. If You validly cancel within that 30-day period, We will refund the sums paid by You, provided that You have not attended any Event Day.

6.4. Your cancellation right ends immediately on the earlier of:

  1. Expiry of the 30-day cancellation period; or
  2. Your attendance at any Event Day.

6.5. Once the right in clause 6.4 has ended, all payments become non-refundable and non-transferable.

6.6. After the 30-day cancellation period has expired, or after You attend any Event Day, whichever occurs first, no refunds, or deferrals will be given.

6.7. Any notice of cancellation must be sent by email to info@mac-nutrition.com. We may require reasonable information to verify the request.

Cancellation or Changes by Us

7.1. We reserve the right to make reasonable changes to the Programme where necessary, including changes to: the timetable; speakers, mentors, or facilitators; content; format; or venue.

7.2. Where reasonably necessary, We may postpone an Event Day, change the Venue, or make other operational changes to enable the Programme to proceed.

7.3. If We cancel the Programme in full before it begins and do not provide a replacement arrangement, We will refund any sums paid for the cancelled Programme.

7.4. If We cancel or materially alter part of the Programme after it has started, Our liability will be limited to the proportion of fees attributable to the affected undelivered part, unless otherwise required by law.

7.5. We will not be responsible for any travel, accommodation, subsistence, loss of earnings, or other personal costs incurred by You in connection with any cancellation, postponement, or change.

Support Facebook Group and Resources

8.1. Access to the Support Facebook Group is provided for 6 months from the start date notified by Us, unless otherwise stated by Us in writing.

8.2. Access to the Support Facebook Group and any Resources is conditional upon:

  1. Compliance with these Terms;
  2. Timely payment of all sums due;
  3. Compliance with any community rules issued by Us; and
  4. Continued availability of the relevant third-party platform.

8.3. We may suspend or remove access to the Support Facebook Group or Resources if:

  1. You fail to make payment when due;
  2. You breach these Terms;
  3. You breach the Code of Conduct; or
  4. We reasonably consider that Your conduct is disruptive, inappropriate, unlawful, or damaging to the group, other participants, or Our business.

8.4. Suspension or removal of access under clause 8.3 will not entitle You to any refund and will not release You from any obligation to pay outstanding sums.

8.5. We are not responsible for the availability, functionality, policies, outages, account restrictions, or other acts or omissions of Facebook or any other third-party platform.

No Guarantee of Success or Clients

9.1. The Programme is educational in nature. We do not guarantee that participation in the Programme will result in:

  1. Business success;
  2. Obtaining clients;
  3. Any particular number of enquiries, leads, or sales;
  4. Revenue, profit, or commercial growth;
  5. Any particular business outcome; or
  6. Suitability of the Programme for Your individual business model, local market, pricing, service offer, or goals.

9.2. Any examples, case studies, testimonials, or illustrations provided by Us are examples only and do not amount to a promise, representation, or guarantee of results.

9.3. Your results will depend on multiple factors outside Our control, including but not limited to Your effort, implementation, skills, experience, market conditions, offer quality, pricing, positioning, service delivery, and commercial decision-making.

9.4. Nothing in the Programme constitutes legal, financial, tax, accounting, insurance, regulatory, or other regulated professional advice, and You remain responsible for obtaining appropriate specialist advice for Your business where required.

Event and Venue Rules

10.1. You must comply at all times with:

  1. These Terms;
  2. Any instructions given by Us, Our staff, speakers, contractors, or Venue personnel;
  3. All health and safety requirements; and
  4. All reasonable venue policies and procedures.

10.2. We reserve the right to refuse admission, remove You from the Venue, or deny continued participation in the Programme if We reasonably consider that:

  1. You are behaving in a disruptive, abusive, aggressive, intimidating, offensive, unsafe, or inappropriate manner;
  2. You are under the influence of alcohol or drugs to an extent that may affect safety, conduct, or the experience of others;
  3. You are putting the safety, wellbeing, or enjoyment of others at risk;
  4. You are damaging property or acting unlawfully; or
  5. You are otherwise in breach of these Terms.

10.3. Removal from the Event or Programme under this clause shall not entitle You to any refund.

10.4. Personal property brought to the Venue is at Your own risk. We accept no responsibility for loss, theft, or damage except where caused by Our negligence and where liability cannot lawfully be excluded.

10.5. You are responsible for notifying Us in advance of any relevant dietary requirements, food allergies, access needs, or medical issues that may reasonably affect Your attendance.

10.6. We will use reasonable endeavours to accommodate requirements notified in advance, but cannot guarantee that all requests can be met.

10.7. The Programme is strictly for participants aged 18 or over.

Photography, Video, and Audio Recording

11.1. We may photograph, film, or record audio and video during the Programme.

11.2. By attending, You consent to Your image, likeness, name, voice, and contributions being captured and used by Us in any media, worldwide, for promotional, editorial, educational, archive, and commercial purposes, without further consent or payment.

11.3. If You do not wish to be featured, You should notify Us in writing in advance at info@mac-nutrition.com. We will use reasonable efforts to accommodate such requests, but We cannot guarantee that incidental or background capture will not occur.

11.4. All rights in any photographs, recordings, and related materials created by or for Us shall belong to Us or the relevant rights holder.

Social Media and Recording Restrictions

12.1. You may share limited, reasonable content from the Programme on social media, provided that:

  1. Any original branding remains visible where applicable;
  2. The sharing is fair and proportionate;
  3. The sharing does not disclose confidential information of other participants; and
  4. The sharing does not damage the integrity or commercial value of the Programme.

12.2. You must not, without Our prior written consent:

  1. Livestream any part of the Programme;
  2. Record full presentations, teaching sessions, discussions, or materials;
  3. Reproduce, circulate, upload, sell, or republish Programme materials; or
  4. Share screenshots, downloads, or content from the Support Facebook Group outside the group.

Intellectual Property

13.1. All intellectual property rights in the Programme, Event Days, Support Facebook Group, Resources, content, materials, templates, frameworks, branding, trade marks, slides, documents, and other materials made available by Us remain vested in Us or Our licensors.

13.2. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Resources for Your own personal business use only.

13.3. You must not, without Our prior written consent:

  1. Copy, reproduce, adapt, edit, publish, distribute, license, sell, rent, sub-license, or commercially exploit any Programme content;
  2. Share Resources with any third party;
  3. Use Programme content to create or deliver a competing product, course, service, or programme; or
  4. Remove any copyright, trade mark, or proprietary notices.

Confidentiality

14.1. During the Programme, You may receive or become aware of confidential, commercially sensitive, or private information relating to Us or other participants.

14.2. You agree to keep confidential and not disclose, copy, share, or use any such information except where:

  1. The information is already lawfully in the public domain;
  2. Disclosure is required by law; or
  3. We or the relevant participant have given prior written consent.

14.3. Without limitation, this obligation applies to:

  1. Other participants’ business plans, ideas, pricing, marketing strategies, finances, client information, and commercial discussions;
  2. Content shared within the Support Facebook Group; and
  3. Any non-public Programme materials or discussions.

Code of Conduct

15.1. You must act professionally, respectfully, and lawfully at all times in connection with the Programme, whether in person, online, or in any communications relating to the Programme.

15.2. Prohibited conduct includes, without limitation:

  1. Bullying, harassment, intimidation, discrimination, or threats;
  2. Abusive, defamatory, obscene, offensive, or aggressive behaviour;
  3. Disruption of sessions or group discussions;
  4. Misuse of confidential information;
  5. Infringement of intellectual property rights;
  6. Providing false information;
  7. Conduct that harms or may harm the reputation, safety, or wellbeing of other participants or Our team; and
  8. Encouraging others to engage in any prohibited conduct.

15.3. We may determine, acting reasonably, whether conduct amounts to a breach of this clause.

15.4. Any breach may result in suspension or removal from the Event Days, Support Facebook Group, and/or Programme without refund.

Force Majeure

16.1. We shall not be liable for any failure or delay in performing Our obligations where such failure or delay results from events beyond Our reasonable control, including but not limited to illness, venue unavailability, utility failure, industrial action, adverse weather, travel disruption, pandemic-related issues, acts of government, fire, flood, civil disturbance, or failure of third-party suppliers.

16.2. Where such circumstances arise, We may suspend, postpone, reschedule, relocate, or otherwise amend the affected part of the Programme.

16.3. Nothing in this clause makes Us liable for Your travel, accommodation, subsistence, or other personal costs.

Liability

17.1. Nothing in these Terms excludes or limits liability for:

  1. Death or personal injury caused by negligence;
  2. Fraud or fraudulent misrepresentation; or
  3. Any other liability that cannot lawfully be excluded or limited.

17.2. Subject to clause 17.1, if You are purchasing the Programme in the course of business, Our total liability to You arising out of or in connection with the Programme shall not exceed the total fees paid by You.

17.3. Subject to clause 17.1, We shall not be liable for:

  1. Loss of profit;
  2. Loss of revenue;
  3. Loss of business;
  4. Loss of anticipated savings;
  5. Loss of opportunity;
  6. Loss of goodwill or reputation; or
  7. Any indirect or consequential loss.

17.4. We are not responsible for decisions You make, actions You take, or business expenditure You incur as a result of the Programme.

Complaints

18.1. If You wish to make a complaint, You must send it in writing to info@mac-nutrition.com.

18.2. We will aim to respond within a reasonable period.

18.3. We expect complaints to be raised professionally and through the appropriate channel.

Data Protection

19.1. We will process Your personal data in accordance with applicable data protection law and Our Privacy Policy.

19.2. You are responsible for ensuring that any personal data You share with Us or within the Programme is shared lawfully.

General

20.1. We may update these Terms from time to time. The version in force at the time of Your purchase will apply to Your contract unless We notify You otherwise in writing.

20.2. We may assign or transfer Our rights and obligations under these Terms to another entity, provided that this does not materially reduce Your rights.

20.3. You may not assign, transfer, or otherwise dispose of Your rights or obligations under these Terms.

20.4. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

20.5. Any delay or failure by Us to enforce any right or remedy shall not constitute a waiver of that or any other right or remedy.

20.6. These Terms constitute the entire agreement between You and Us in relation to the Programme and supersede any prior discussions, correspondence, statements, or understandings relating to it.

Governing Law and Jurisdiction

21.1. These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

21.2. Subject to any mandatory rights that may apply by law, the courts of England and Wales shall have jurisdiction to determine any dispute or claim arising out of or in connection with these Terms.
